28 sep 2026 · @Jochen Roef
1. About us and scope
These Terms of Service are the general terms and conditions of Ingenious Sales Solutions and apply to every offer, order, purchase and service we provide.
Version: 1.0 · Effective date: 28 sep 2026
Ingenious Sales Solutions is the trading name of Roef - De Feyter BV, Vossenstraat 45, 9070 Heusden, Belgium, company and VAT number BE 0827.763.356, info@ingenioussales.solutions, +32 496 16 04 14 ("we", "us", "our").
Business customers only. Our services and products are intended exclusively for businesses and professionals acting for purposes related to their trade, business or profession ("the Client"). By placing an order or accepting an offer, the Client confirms that it acts in a professional capacity. For every purchase we require a company name and a VAT or company number. Consumer protection rules, including the statutory right of withdrawal, therefore do not apply.
Order of precedence. In the event of a conflict, the following order applies:
specific terms agreed in writing in an offer or agreement;
these Terms of Service;
information on our website.
The Client's own general terms and conditions do not apply, unless we have expressly accepted them in writing.
2. Offers and conclusion of the contract
A contract is concluded when the Client accepts our offer in writing or completes an online purchase.
Our offers are valid for 30 days, unless stated otherwise. They are based on the information the Client has provided.
Written acceptance includes a signed offer, an email confirmation or an electronic signature.
An online purchase is concluded once the payment has been successfully processed. The Client receives a confirmation by email.
By accepting an offer or completing a purchase, the Client confirms that it has read and accepted these Terms of Service.
Changes to the scope of an assignment only bind us once they are agreed in writing, including any impact on price and timing.
3. Services provided under an offer
This section applies to coaching trajectories, advisory assignments, in-company training, workshops and keynotes.
Obligation of means. We perform our services with professional expertise and care, as an obligation of means (inspanningsverbintenis). We do not guarantee specific results, such as revenue growth, closed deals or the successful implementation of tools, as these depend on the Client's own decisions and execution.
Client cooperation. The Client provides the information, access and availability we reasonably need, on time. Delays caused by the Client may affect the planning and do not suspend its payment obligations.
Cancellation and rescheduling.
Costs already incurred, such as travel, accommodation or venue hire, are always charged.
The Client may reschedule an in-company training, workshop or keynote once free of charge, provided it notifies us at least 14 days in advance and the new date falls within three months of the original date.
Cancellations and rescheduling requests must be made in writing, by email.
If we have to cancel a session ourselves, we agree a new date with the Client at no extra cost.
4. Online purchases
This section applies to paid webinars, online workshops, one-off access to programmes and digital products purchased through our website.
Webinars and online workshops.
The Client may cancel free of charge up to 7 days before the session and receives a full refund.
After that, no refund is given. The Client may, however, send a colleague in its place at any time, free of charge.
If we cancel a session ourselves, the Client chooses between a new date and a full refund.
Digital products such as templates and guides are not refundable once they have been downloaded or opened.
One-off access to a programme or content applies for the period stated at the time of purchase.
Technical problems. If a product or access does not work due to an error on our side, we will resolve it within a reasonable time or refund the amount paid.
5. Subscriptions to the member area
Subscriptions run monthly or annually, as stated at the time of purchase, and renew automatically until cancelled.
Cancellation. The Client may cancel at any time via its account or by email. Cancellation takes effect at the end of the current period; access continues until then.
No pro-rata refunds are given for a period that has already started.
Renewal reminder. For annual subscriptions, we send a reminder by email approximately 30 days before renewal.
Price changes are announced at least 30 days in advance and apply from the next renewal. The Client may cancel free of charge before that renewal.
Personal access. Login details are personal to the named user and may not be shared. We may suspend access in case of misuse.
End of access. When a subscription ends, access to the member area ends. Material the Client downloaded during the subscription may continue to be used internally, subject to section 7.
6. Prices, invoicing and payment
All prices are in euro and exclusive of VAT, unless stated otherwise.
Online purchases and subscriptions are paid in advance via our payment provider. Access starts once payment has been received.
Trajectories and assignments under an offer are invoiced as follows, unless the offer states otherwise:
Delivery means the date of the last session or the last deliverable foreseen in the offer. If the Client postpones the final sessions, the last instalment becomes due no later than three months after the originally planned end date.
Keynotes and in-company training are invoiced once the date is confirmed, unless the offer states otherwise.
Travel and other costs are charged separately where stated in the offer.
Payment term. Invoices are payable within 30 days of the invoice date. We issue invoices electronically, including via the Peppol network.
Late payment. Any amount not paid by the due date automatically bears, without prior notice, interest and a fixed compensation for recovery costs in accordance with the Belgian Act of 2 August 2002 on combating late payment in commercial transactions.
Suspension. If an invoice remains unpaid after a written reminder, we may suspend our services or access to the member area until payment has been received.
Disputes about invoices must be notified to us in writing within 14 days of the invoice date.
7. Intellectual property
Our methods and materials remain our property; the Client receives a right to use them internally.
Our property. All frameworks, models, methods, templates, training materials, presentations, recordings and member-area content remain the intellectual property of Roef - De Feyter BV or its licensors, including when used in the Client's assignment.
Right of use. The Client receives a non-exclusive, non-transferable right to use these materials internally for its own business purposes. The Client may not resell, publish or distribute them, or use them to train or advise third parties.
Custom deliverables. The Client may freely use deliverables we create specifically for it, such as a sales plan or analysis, for internal purposes. The underlying methods, templates and know-how remain ours, and we may continue to use them for other clients.
No recordings of sessions, training or webinars may be made by the Client without our prior written consent.
Anonymised insights. We may use general, non-attributable lessons learned from our work to develop our own expertise and content. We never use the Client's confidential information for this purpose.
References. We only use the Client's name or logo as a reference with its prior consent.
8. Confidentiality and data protection
Both parties keep each other's confidential information confidential, during the contract and for three years after it ends.
Confidential information includes business plans, figures, client data, strategies and any information marked or reasonably recognisable as confidential.
This obligation does not apply to information that is publicly available, was already lawfully known to the receiving party, or must be disclosed by law.
Personal data. We process personal data in accordance with our Privacy Policy.
No processing on the Client's behalf by default. In our standard services we do not act as a processor on behalf of the Client. The Client does not provide us with personal data of third parties, such as recordings of its employees or exports from its CRM, unless we have first concluded a separate data processing agreement.
Use of AI. We use AI tools under business subscriptions to support our work, as described in our Privacy Policy. Output is always reviewed by a person before it is used or shared.
9. Liability and force majeure
Our total liability is limited to the amount the Client has paid for the assignment concerned.
Cap. For subscriptions, our liability is limited to the amount paid in the twelve months preceding the event giving rise to the claim.
No indirect damage. We are not liable for indirect or consequential damage, including loss of profit, loss of clients or opportunities, reputational damage and loss of data.
Third-party tools. We advise on AI and sales tools, but we are not liable for their functioning, availability or security, nor for decisions the Client takes based on their output. The use of such tools is subject to the terms of their providers.
Client decisions. The Client remains responsible for the decisions it takes and for their implementation.
Mandatory law. Nothing in these terms excludes or limits our liability for our own intentional fault, or for damage to life or physical integrity, where the law does not allow this.
Time limit. Claims must be notified to us in writing within one year of the Client becoming aware of the damage.
Force majeure. Neither party is liable for failure to perform its obligations due to circumstances beyond its reasonable control, such as illness of the facilitator, natural disasters, pandemics, government measures or large-scale technical failures. In such cases, we agree a new date or an alternative. If force majeure lasts more than two months, either party may terminate the affected part of the contract without compensation; amounts paid for services not delivered are refunded.
10. Website, changes and disputes
Belgian law governs these terms, and the courts of Ghent have jurisdiction.
Use of the website. The information on our website is general and is not personalised advice. We take care to keep it accurate and up to date, but cannot guarantee that it is complete or free of errors. We are not responsible for websites of third parties that we link to. The content of the website is protected by intellectual property rights and may not be copied without our consent.
Changes. We may amend these terms. The version number and effective date at the top show which version applies. Changes do not affect contracts already concluded, except for subscriptions, where we announce changes at least 30 days before the next renewal.
Invalidity. If a provision is invalid or unenforceable, the remaining provisions remain in force. The invalid provision is replaced by a valid provision that comes as close as possible to its original purpose.
Language. These terms are available in English and Dutch. In the event of any difference in interpretation, the Dutch version prevails.
Disputes. In the event of a dispute, the parties will first try to reach an amicable solution. If this fails, the courts of Ghent have exclusive jurisdiction. Belgian law applies.
